Terms of Use for Submitting VidMail Video Messages

1. Introduction
These Terms of Use ("VidMail Terms") govern your submission of video messages ("VidMail") to content creators using the Reactoo Platform. By submitting a VidMail, you agree to be bound by these VidMail Terms. If you do not agree, do not submit a VidMail.
These VidMail Terms supplement — and do not replace — Reactoo Limited's general Terms of Use, Privacy Policy, and Community Guidelines. Where a topic is not addressed here, the general Terms of Use apply. In the event of a conflict between these VidMail Terms and the general Terms of Use on a VidMail-specific matter, these VidMail Terms control for that matter only.
2. Eligibility
To submit a VidMail, you must be at least 18 years old or the legal age of majority in your jurisdiction. If you are under 18, you may submit a VidMail only with the consent and supervision of a parent or legal guardian who agrees to be bound by these VidMail Terms. By submitting a VidMail, you represent and warrant that you meet these requirements.
3. Content Submission
3.1 Content Ownership: You retain ownership of the content you submit. However, by submitting a VidMail, you grant the content creator and Reactoo a worldwide, non-exclusive, royalty-free license to host, record, process, review, manage, reproduce, distribute, and display your VidMail for the purposes of moderation, creator review, archive management, and public playback as part of the creator's content.
3.2 Creator Discretion: Content creators — not Reactoo — decide whether to review, accept, reject, edit, queue, or publicly play back any VidMail. Reactoo does not guarantee that a creator will view, respond to, or broadcast your submission.
3.3 Content Guidelines: You agree not to submit any content that:
- Violates any applicable laws or regulations.
- Infringes on the intellectual property, privacy, or publicity rights of others.
- Contains harmful or malicious content, including viruses, malware, or spam.
- Is defamatory, harassing, hateful, obscene, sexually explicit, violent, or otherwise inappropriate.
- Exploits, endangers, or sexualises minors.
- Impersonates another person or misrepresents your identity or affiliation.
You must also comply with our Community Guidelines. Reactoo and content creators may remove or refuse VidMail submissions that violate these standards.
3.4 Your Representations: You represent and warrant that you own or have all necessary rights, permissions, and consents to submit your VidMail and to grant the licenses described in these VidMail Terms, and that your submission does not violate any third-party rights or applicable law.
4. Payment and Charges
4.1 Payment Processing: Payments for VidMail submissions are processed through Stripe, Inc. or another designated third-party payment processor. You are responsible for ensuring that your payment information is accurate and up to date. Your use of Stripe's services may be subject to Stripe's own terms and privacy policy.
4.2 Pricing and Taxes: The price displayed at the time of submission is the amount you agree to pay for that VidMail submission, plus any applicable taxes, duties, or fees required by law. You authorise Reactoo and its payment processor to charge your selected payment method for the total amount shown at checkout.
4.3 No Guarantee of Response: Payment for submitting a VidMail does not guarantee a response, review, acceptance, or public playback by the content creator. The decision to review, manage, and play back your VidMail publicly is at the sole discretion of the content creator.
4.4 Non-Refundable: Except where required by applicable law or expressly stated otherwise at checkout, payments for VidMail submissions are non-refundable, regardless of whether your VidMail is reviewed, accepted, rejected, or played back by the content creator.
4.5 Failed Payments: If your payment cannot be completed or is reversed, Reactoo may cancel or withhold processing of your VidMail submission until payment is successfully collected.
5. Privacy and Use of Your Information
5.1 Personal Information: By submitting a VidMail, you agree that Reactoo may collect and use your personal information, payment details, and submission metadata as described in our Privacy Policy. Content creators operating VidMail on the Reactoo Platform may also receive and process information associated with your submission in connection with reviewing and managing their content.
5.2 Public Playback: You understand and agree that your VidMail may be played back publicly as part of the content creator's live streams, pre-recorded videos, social channels, or other published content. Do not include personal information in your VidMail that you do not want to be publicly visible.
5.3 Platform Processing: Reactoo may process, store, moderate, and analyse VidMail submissions to operate the service, maintain security, enforce these VidMail Terms, and improve platform features, including automated moderation tools, as further described in our Privacy Policy.
6. Reactoo's Role and Disclaimer
Reactoo provides the technical platform that enables VidMail submissions and delivery to content creators. Reactoo is not the publisher of creator content and is not responsible for a creator's decision to accept, reject, edit, or publicly play back any VidMail. To the maximum extent permitted by applicable law, the VidMail submission service is provided on an "as is" and "as available" basis.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Reactoo Limited, its affiliates, officers, directors, employees, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, whether incurred directly or indirectly, arising out of or related to your submission of a VidMail, including any decision by a content creator not to review or play back your VidMail.
8. Indemnity
You agree to defend, indemnify, and hold harmless Reactoo Limited, its affiliates, officers, directors, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to your VidMail submission, your violation of these VidMail Terms, or your infringement of any third-party rights.
9. Reporting and Enforcement
If you believe a VidMail submission or playback violates these VidMail Terms, our Community Guidelines, or applicable law — including intellectual property infringement — please contact support@reactoo.com with sufficient detail for us to investigate. Reactoo may remove submissions, restrict further submissions, or take other action as described in our general Terms of Use.
10. Termination
We may terminate or suspend your ability to submit VidMail at any time, without prior notice or liability, for conduct that we believe violates these VidMail Terms, our general Terms of Use, or applicable law, or that could harm Reactoo, content creators, or other users.
11. Consumer and Local Law Rights
Nothing in these VidMail Terms excludes rights that cannot be limited or excluded under applicable consumer protection laws or other mandatory local laws. If such laws apply to you, certain disclaimers or limitations in these VidMail Terms may not apply to the extent prohibited by law.
12. Governing Law
These VidMail Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles. Any legal action or proceeding arising under these VidMail Terms shall be brought exclusively in the courts of the United Kingdom.
13. Changes to Terms
We may modify these VidMail Terms at any time by posting the revised version on our website with an updated "Effective Date." Your continued submission of VidMail after the effective date of the revised VidMail Terms constitutes your acceptance of the changes.
